These Terms of Sale apply to every order placed with Eagle Distribution ("Eagle," "we," "us") through www.eagle-distribution.com, by phone, or in person. By opening an account or placing an order, the business you represent ("Buyer," "you") agrees to these terms.

1. Wholesale only — who may buy

  • Eagle sells only to licensed retail businesses, such as convenience stores and smoke shops, for resale. We do not sell to consumers.
  • Anyone using this site or placing an order must be 21 years of age or older and authorized to act for the Buyer.
  • The Buyer must hold, and keep current, all federal, state and local licenses and permits required to buy and resell the products it orders.

2. Account application and approval

  • To open an account, you apply online and provide the business's FEIN, a resale (sales tax exemption) certificate, a driver license for the applicant, and supporting document uploads. An Oklahoma OTC cigarette permit may be provided at signup or later.
  • Eagle reviews every application. We may approve, decline, limit, suspend or close an account at our discretion, including if documents are incomplete, expired or cannot be verified.
  • You agree that all information you provide is true and complete, and to tell us promptly if anything changes (for example, a permit expires, is suspended, or ownership changes).
  • You are responsible for all activity under your login. Keep your credentials secure.

3. Pricing and quotes

  • Prices are shown only to approved accounts that are logged in.
  • Prices can change without notice until an order is confirmed. Quotes are valid for the period stated on the quote, or until changed if none is stated.
  • Obvious pricing or listing errors may be corrected, and affected orders may be canceled or adjusted after we contact you.
  • Prices may not include applicable taxes, tax stamps or delivery fees; these are shown on the order or invoice.

4. Orders

  • An order is accepted only when Eagle confirms it. Placing an order in the cart does not guarantee availability.
  • We may limit quantities, substitute only with your approval, or cancel orders, including where we cannot verify a license or where a sale may not be lawful.
  • Product availability and descriptions are provided in good faith; packaging and assortments may change by manufacturer.

5. Pickup and delivery

  • Most orders are picked up at our Tulsa warehouse. A limited number of local, paid deliveries are available each week and are arranged by phone.
  • We do not ship tobacco or vapor products by mail or by common carrier.

6. Title and risk of loss

  • For pickup orders, title and risk of loss pass to the Buyer when the order is handed over at our warehouse.
  • For local deliveries, title and risk of loss pass to the Buyer when the order is delivered to the Buyer's business address and accepted.

7. Payment

  • Payment is due according to the payment terms set for your account.
  • Unless your account has approved credit terms, payment is due at or before pickup or delivery.
  • Past-due balances may result in holds on new orders, changes to your terms, or account suspension, and may be subject to fees as allowed by law.
  • Returned payments may be subject to fees as allowed by law.

8. Taxes and tax stamps

  • Oklahoma cigarette tax stamps are applied as required by law. Applicable excise and other taxes are included or itemized as required.
  • Sales tax is handled under resale exemption rules. If we do not have a valid resale certificate on file, or the certificate does not cover a purchase, we will charge sales tax where required.
  • The Buyer is responsible for any taxes owed on its own resale of the products.

9. Returns and credits

Returns and credits are handled case by case. Damaged or incorrect items must be reported at pickup or delivery, or as soon as possible after. Sealed tobacco products are generally not returnable unless damaged or incorrect. Approved credits are issued as credit memos on your account. See our Returns & Credits Policy.

10. Buyer compliance obligations

By purchasing, the Buyer agrees to:

  • Never sell or provide tobacco, nicotine or vapor products to anyone under 21, and to check ID as required by federal, state and local law.
  • Hold and maintain all required licenses and permits (including any required Oklahoma tobacco, cigarette or vapor permits) and provide current copies to Eagle on request.
  • Resell products only in lawful channels and only where the products may lawfully be sold.
  • Follow all applicable federal, state and local laws for the sale, display, marking, labeling and recordkeeping of the products, including FDA rules that apply to retailers.
  • Not resell products by mail, internet, or delivery in a way that violates federal or state law.
  • Cooperate with reasonable requests from Eagle for information needed for tax or regulatory reporting.

Eagle may suspend or close an account and refuse orders if we believe these obligations are not being met.

11. Product information and warranties

  • Products are sold as supplied by the manufacturer. Any manufacturer warranty passes through to the Buyer where available.
  • Except as stated in these terms and to the extent allowed by law, Eagle makes no other warranties, express or implied, including warranties of merchantability or fitness for a particular purpose.

12. Limitation of liability

  • To the extent allowed by law, Eagle's total liability for any claim related to an order is limited to the amount the Buyer paid for the products involved in that claim.
  • Eagle is not liable for indirect, incidental, special or consequential damages, including lost profits, even if advised they were possible.
  • Eagle is not responsible for delays or failures caused by events outside our reasonable control.

13. Indemnity

The Buyer agrees to indemnify and hold Eagle harmless from claims, fines and costs arising from the Buyer's resale of products or its failure to comply with these terms or applicable law.

14. Governing law and venue

These terms are governed by the laws of the State of Oklahoma, without regard to conflict-of-law rules. Any dispute will be brought in the state or federal courts located in Tulsa County, Oklahoma, unless the parties agree otherwise.

15. Changes to these terms

We may update these terms from time to time. The updated version will be posted on this page with a new effective date. Orders are governed by the terms in effect when the order is placed.
